INDEMNITY

SWEEPSTAKES AND/OR CONTESTS

Sweepstakes, contests, games, and other promotions run on Drip Athletic Club websites may require personally identifiable information such as full name, address, email address, and phone number in order to participate. Drip Athletic Club may use a reputable third party to manage and administer some or all promotions. Any such third party will be instructed to use personally identifiable information only for the specific sweepstakes and/or contest purpose for which it was requested, and in compliance with the Drip Athletic Club Privacy Policy.

Sweepstakes and contests are targeted to individuals 18 years of age and older. Individuals under 18 years of age are not eligible to participate. Drip Athletic Club requires proof of age in order for an individual to collect any prizes awarded. Individuals may only be a prize winner once in any ninety (90) day period.

GENERAL PROVISIONS

This Agreement operates to the fullest extent permissible by law. If any provision of this Agreement is unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity and enforceability of any remaining provisions. This Agreement is governed by, and construed in accordance with, the laws of the State of Nebraska without giving effect to any principles of conflicts of law. You agree to submit to the exclusive jurisdiction of the courts of the State of Nebraska for resolution of any dispute arising in connection with this Agreement or your use of the Site.

NOTICES

Except as explicitly stated otherwise, notices shall be given by email to Info@dripathleticclub.com or to the email address you provide to Drip Athletic Club during the registration process. Notice shall be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid. Alternatively, notice may be given by certified mail, postage prepaid and return receipt requested, to: Drip Athletic Club, Attn: Legal Department, 2215 N 90th St, Omaha, NE 68134. In such cases, notice shall be deemed given 3 days after the date of mailing.

RESOLUTION OF DISPUTES

In the event a dispute arises between you and Drip Athletic Club, our goal is to provide a neutral and cost-effective means of resolving the dispute quickly. You and Drip Athletic Club agree that any claim or controversy at law or equity arising out of this Agreement or our services shall be resolved in accordance with the subsections below or as otherwise mutually agreed upon in writing.

Before resorting to these alternatives, we strongly encourage you to first contact us directly to seek a resolution. We will consider reasonable requests to resolve disputes through alternative dispute resolution procedures, such as mediation, as an alternative to litigation.

Binding Arbitration: For any claim (excluding claims for injunctive or other equitable relief) where the total amount of the award sought is less than $10,000, you or Drip Athletic Club may elect to resolve the dispute through binding arbitration conducted by telephone, online, and/or based solely upon written submissions where no in-person appearance is required. Such arbitration shall be administered by the American Arbitration Association or JAMS in accordance with their applicable rules, or another established ADR provider mutually agreed upon by the parties.

Court: Any claim may alternatively be adjudicated by a court of competent jurisdiction. You and Drip Athletic Club agree to submit to the personal jurisdiction of the courts located within Douglas County, Nebraska. All claims between the parties must be resolved using the dispute resolution mechanism selected by the first party to file a claim. Should either party file an action contrary to this Section, the other party may recover attorney’s fees and costs up to $1,000, provided that the party seeking the award has notified the other party in writing of the improperly filed claim and the other party has failed to withdraw the claim.

We may use third-party companies to provide advertising services and/or to collect certain information when you visit and interact with our website. Drip Athletic Club offers its members mobile alerts regarding marketing updates, sales promotions, event information, new offerings, and fitness tips by SMS message (the “Service”). By participating in the Service, you are agreeing to these Terms and to the Drip Athletic Club Privacy Policy.

Enrollment in the Service requires you to provide your mobile phone number and to agree to these terms and conditions. Drip Athletic Club reserves the right to stop offering the Service at any time with or without notice.

By opting into the Service, you:

1. Authorize Drip Athletic Club to use auto dialer or non-auto dialed technology to send recurring text messages to the mobile phone number associated with your opt-in.
2. Acknowledge that you do not have to agree to receive messages as a condition of purchase.
3. Confirm that you are the subscriber to the relevant phone number or the customary user of that number on a family or business plan and that you are authorized to opt in.
